SECP Company Registration Services in Pakistan: What a Consultant Should Do for You

SCEp

You can register a company with the SECP yourself. The LEAP eZfile portal is built for exactly that: it generates your Memorandum and Articles of Association, runs name checks automatically, and a straightforward private limited company can be incorporated within a few working days of a complete application.

So the useful question is not whether you legally need an SECP company registration consultant in Pakistan. You do not. The question is what you are paying a consultant to do that you could not easily do yourself, and how to tell one who adds that value from one who simply types your details into the same portal you could have used.

This guide answers that question. If you want the filing steps themselves, our complete SECP company registration guide walks through them one by one. This page is about the service: what it should include, when it is worth paying for, what it costs, and how to choose who handles it.

What SECP company registration services actually cover

A proper engagement has three stages. Only one of them is the filing, and it is the least demanding of the three.

Before filing: the decisions that are hard to undo

  • Company type. A Single Member Company, a private limited company, a public company, a not-for-profit association under section 42, or a branch of a foreign company. Each carries different ownership rules, tax treatment and exit options. Our company versus sole proprietorship comparison covers the first fork in that road.
  • Name strategy. The SECP rejects names that are identical or deceptively similar to existing ones, and names that suggest a link to government or to a licensed activity need prior approval. A consultant should test the name before you print cards or register a domain.
  • Principal line of business. The objects you declare are read later by banks, the FBR and sector regulators. Wording that looks harmless at incorporation can block a sector licence two months later.
  • Authorised capital and shareholding. Capital drives the SECP fee, and the split between shareholders decides control, profit share and what happens when someone leaves.

The filing itself

  • The combined application on LEAP, covering name reservation and incorporation together.
  • Identity documents for every subscriber and director: CNIC for residents, NICOP for overseas Pakistanis, passports for foreign nationals.
  • Registered office details, director consents and the beneficial ownership information the SECP now requires at incorporation.
  • Responding to any SECP query or objection quickly, which is where most avoidable delays come from.

After the certificate of incorporation

  • NTN and sales tax registration with the FBR.
  • Documents for opening the corporate bank account.
  • Statutory registers, share certificates and the first board resolutions.
  • Appointing the first auditor and setting up recurring filings such as the annual return. Our compliance calendar shows how these deadlines connect.

A service that stops at the certificate has done the easy third of the work.

Where a consultant earns the fee, and where they do not

TaskDoing it yourselfWhere it usually goes wrong
Name reservationEasyA brand conflict or a word needing prior approval is noticed after branding is paid for
Objects clauseLooks easy, is notWording that later blocks a sector licence or raises bank questions
Choosing the structureModerateAn SMC is chosen when investors are planned, forcing a later conversion
Foreign shareholders or directorsHardSecurity clearance, sector permissions and share-money documentation
LEAP filingEasy to moderateMismatched identity data or an incomplete beneficial ownership declaration
Post-incorporation complianceModerate and ongoingMissed annual filings and the penalties that follow

If every row in your situation sits in the easy column, you may not need to pay anyone. If even one sits in the hard column, that row is what you are hiring for.

When you need an SECP company registration consultant in Pakistan

You can reasonably do it yourself if

  • All shareholders and directors are Pakistani residents with valid CNICs.
  • You are forming a simple Single Member Company or private limited company.
  • Your business is general trading or services with no sector licence behind it.
  • You are comfortable handling FBR registration and annual filings afterwards.

A consultant is worth it if

  • Any shareholder or director is a foreign national or a foreign company. Our foreign company setup guide explains the branch, subsidiary and liaison office choice.
  • Your activity needs a regulator after the SECP, such as PEC registration for engineering firms, DRAP for health products, or AEDB for solar work.
  • You have several shareholders and need custom Articles, for example restrictions on share transfers or investor rights.
  • You need the company, NTN and a sector licence in sequence against a fixed date, such as a tender deadline.

What SECP company registration services cost in Pakistan

The price you are quoted has two parts, and a good consultant shows them separately.

  • Government fees. Charged by the SECP. They depend mainly on authorised capital and are lower for online filing. For a small company they are modest. The SECP publishes its fee schedule, so you can check this figure yourself.
  • Professional fees. Charged by the consultant for their time and judgement. These vary with scope far more than with the firm.

Compare quotes by scope, not by the headline number. A low package price that excludes NTN registration, statutory registers, bank documentation or any post-incorporation support is not cheaper. It is smaller.

How to vet an SECP registration consultant

Six questions separate a consultant who understands company law from one who operates a portal.

  1. What will you put in my objects, and why? A good answer refers to the licences and bank checks that come after incorporation.
  2. Whose name will hold the LEAP login and PIN? The PIN works as a digital signature. It should belong to you or your director, not stay permanently with the consultant.
  3. What happens after the certificate? Listen for NTN, registers, auditor appointment and the annual return.
  4. Can I have a written scope with the SECP fee listed separately? Refusing to itemise is a warning in itself.
  5. Which regulator comes next for my business, and do you handle it? Registration is rarely the last approval you need.
  6. Can I see companies you have incorporated? Any company name can be checked on the SECP company search.

Red flags to walk away from

  • A guarantee of same-day incorporation regardless of your circumstances. The SECP controls the timeline, not the consultant.
  • A request to list the consultant as a director or shareholder without a clear legal reason. An SMC must name a nominee, which is normal, but that nominee should be someone you choose and trust.
  • Keeping your credentials after the job is done.
  • No mention of beneficial ownership declarations, which are now part of every incorporation.
  • Pressure to pick a company type before they have asked about your plans for investors, tax or exit.

How CEC handles SECP company registration

Connect Engineers & Consultants works from the decisions outward. We start with your structure and your downstream licences, draft the objects to fit both, file on LEAP in your own login, then complete NTN registration and hand over the registers, bank documents and a compliance schedule for the first year.

Because the same team handles PEC, PSQCA, AEDB, DRAP and ISO work, we can see at incorporation what your second and third approvals will need. That matters more than speed on the first. Clients in the capital can read our guide to SECP company registration in Islamabad, and details of the service are on our SECP company registration services page.

Frequently asked questions

Is SECP registration mandatory to start a business in Pakistan?

Only if you want to operate as a company. Sole proprietors register with the FBR, and partnerships with the provincial registrar. You need the SECP when you want a separate legal entity with limited liability.

How long does SECP company registration take?

A complete, straightforward application is typically processed within a few working days. Delays usually come from name objections, missing documents or foreign-national clearance, not from the portal.

Can overseas Pakistanis register a company from abroad?

Yes. LEAP is fully online, and overseas Pakistanis can file using a NICOP.

Can a foreigner own a company in Pakistan?

In most sectors, yes, including full foreign ownership, subject to security clearance for foreign nationals and any restrictions that apply to specific sectors. This is the situation where professional help is most clearly worth it.

Do I have to use a consultant?

No. The law does not require one. Use a consultant when your situation includes any of the harder cases above.

Ready to register? Contact our team for a structure review before you file. It costs far less to get the decisions right at the start than to change them later.
