A partnership is the simplest way for two or more people to run a business together in Pakistan. You do not need the SECP, a minimum capital or a board. You need a written partnership deed and, if you want the firm to be able to enforce its contracts, registration with the Registrar of Firms of your province.
Registration is optional in law but expensive to skip in practice. This guide explains what it protects you from, what goes into the deed and the registration statement, how to file in Punjab and the other provinces, and when a partnership is the wrong structure.
Is registering a partnership firm compulsory?
No. Partnerships in Pakistan are governed by the Partnership Act, 1932, and section 58 lets a firm register at any time. Nothing makes an unregistered partnership illegal.
The cost of not registering comes from section 69. An unregistered firm cannot file a suit against an outsider to enforce a contract, and a partner cannot sue the firm or the other partners under the partnership either. If a customer refuses to pay an invoice, an unregistered firm may have no case in court.
There is a second, practical cost. Banks, government departments and other regulators usually ask for the registration certificate before they deal with a firm. Our guide to business registration requirements explains why the order of registrations matters.
Partnership, sole proprietorship or company?
| Point | Sole proprietorship | Registered partnership | Private limited company |
|---|---|---|---|
| Owners | One | Two or more partners | One (as an SMC) or more shareholders |
| Registered with | FBR only | Provincial Registrar of Firms | SECP |
| Separate legal entity | No | No | Yes |
| Liability | Unlimited | Unlimited, joint and several | Limited to shares |
| Admitting a new owner | Not applicable | New deed and registrar filing | Transfer or issue of shares |
The row that matters most is liability. Under section 25 of the Act, every partner is liable jointly and severally for the acts of the firm. A creditor can pursue any one partner for the whole debt, including from their personal assets. If you want limited liability or plan to bring in investors, a company is the better choice. Our guides to company versus sole proprietorship and Single Member Company versus private limited company cover that decision.
What goes into the partnership deed
The deed is the agreement between the partners. It is printed on stamp paper and signed by every partner. The law does not prescribe its contents, but a deed that leaves these points out will cause disputes later:
- The firm's name and principal place of business
- The nature of the business
- Each partner's name, address and capital contribution
- How profits and losses are shared
- Who can sign cheques and contracts, and each partner's duties
- Whether partners draw salaries or interest on capital
- How a partner joins, retires or is removed, and how their share is valued
- What happens on a partner's death, and how the firm is dissolved
- How disputes are resolved, for example by arbitration
The registration statement under section 58
Registration is made by filing a statement with the Registrar of Firms. Section 58 requires it to state:
- The firm's name
- Its principal place of business
- Any other places where it does business
- The date each partner joined the firm
- Each partner's full name and permanent address
- The duration of the firm
The statement must be signed by all the partners or their authorised agents, and filed with the Registrar for an area where the firm has, or will have, a place of business. Take care with the details. Section 70 makes it an offence to sign a statement that you know to be false or incomplete.
How to register a partnership firm in Punjab
In Punjab, firms are registered by the Registrar of Firms under the Industries, Commerce and Investment Department, and the statement is filed on Form 1. The process typically runs like this:
- Agree the terms and print the partnership deed on stamp paper. Punjab issues e-stamp paper online.
- Collect each partner's CNIC copy.
- Fill in Form 1 with the firm's details and each partner's particulars.
- Have every partner sign Form 1 before an authorised witness. The witness requirement is printed on the form.
- Pay the registration fee by bank challan and keep the receipt.
- File the deed, Form 1, CNIC copies and fee receipt with the Registrar of Firms, or apply through the Punjab Business Registration Portal.
- Collect the certificate of registration once the Registrar has entered the firm in the register.
The Punjab fee is small and published on Form 1, but confirm the amount on the challan you are issued, especially if you apply online. Sindh, Khyber Pakhtunkhwa, Balochistan and Islamabad each have their own Registrar of Firms and forms, but the Partnership Act and the section 58 particulars are the same.
After registration
- Get an NTN for the firm. A partnership is a separate taxpayer, as an association of persons, and needs its own NTN and returns. Our NTN registration guide explains the steps.
- Open a bank account in the firm's name with the registration certificate and deed.
- Report every change to the Registrar. A new name or address, a new place of business, a partner joining or leaving, and dissolution each have their own form and fee. A register that does not match reality defeats the purpose of registering.
- Add the firm's deadlines to your compliance calendar.
When a partnership is the wrong choice
- You want to protect your personal assets from the business's debts.
- You plan to raise investment or offer shares to employees.
- You need to bid for contracts that ask for a company, or a regulator in your sector prefers one.
- One partner is a foreign national or foreign company. A company is usually simpler.
A partnership can be converted later by incorporating a company and transferring the business to it, but it is easier to choose correctly at the start.
Frequently asked questions
Is partnership firm registration compulsory in Pakistan?
No. Section 58 of the Partnership Act, 1932 lets a firm register at any time. But under section 69 an unregistered firm cannot sue an outsider to enforce a contract, and banks and regulators usually ask for the registration certificate.
Where do I register a partnership firm?
With the Registrar of Firms of the province where the firm has a place of business. In Punjab this is under the Industries, Commerce and Investment Department, and you can also apply through the Punjab Business Registration Portal.
What documents are needed to register a partnership firm?
A partnership deed on stamp paper signed by all partners, the registration statement (Form 1 in Punjab) signed by all partners before an authorised witness, CNIC copies of the partners, and the fee challan.
Are partners personally liable for the firm’s debts?
Yes. Under section 25 of the Partnership Act, every partner is liable jointly and severally for the acts of the firm, including from personal assets. Registration does not change that.
Does a partnership firm need its own NTN?
Yes. A partnership is taxed as an association of persons and needs its own NTN and tax returns, separate from its partners.
